By accessing computertechmd.com or engaging Computer Tech MD ("Company") for services, you agree to be bound by these Terms of Service and all applicable laws. If you do not agree, do not use our services or website.
Computer Tech MD provides managed IT services, cybersecurity, cloud solutions, backup and disaster recovery, and network infrastructure services to Florida businesses. Specific service terms, scope, and SLAs are defined in individual Master Service Agreements (MSAs) and Statements of Work (SOWs) executed with each client.
Response time SLAs, uptime guarantees, and support tier definitions are specified in your individual service agreement. Standard SLAs include: critical issue response within 15 minutes, standard request response within 2 hours, and 99.9% network uptime for managed infrastructure clients. SLA credits are available per your service agreement terms.
Managed service fees are billed monthly in advance on the 1st of each month. Project work is billed per Statement of Work terms, typically 50% upfront and 50% upon completion. Invoices are due within 30 days. Late payments accrue interest at 1.5% per month. Services may be suspended after 60 days of non-payment.
All content on computertechmd.com — including text, graphics, logos, and software — is the property of Computer Tech MD and protected by copyright law. Tools, scripts, and documentation created by Computer Tech MD for client use remain the Company's intellectual property unless explicitly transferred by written agreement.
To the maximum extent permitted by Florida law, Computer Tech MD's total liability for any claim shall not exceed the fees paid by the client in the 3 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss resulting from circumstances beyond our reasonable control.
You agree to indemnify and hold Computer Tech MD harmless from claims, losses, and expenses (including legal fees) arising from: your violation of these Terms; your use of our services in a manner not authorized or contemplated; your violation of any third-party rights; or your violation of applicable laws.
Both parties agree to maintain confidentiality of proprietary information shared during the service relationship. This obligation survives termination of the service agreement for a period of 3 years. Client data is treated as confidential and handled per our Privacy Policy and any applicable BAA.
Service agreements may be terminated by either party with 30 days written notice, unless otherwise specified in the MSA. Early termination may be subject to fees as specified in your agreement. Upon termination, we will provide data export assistance for 30 days and then securely delete client data per our data retention policy.
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts of Lee County, Florida, and you consent to personal jurisdiction in those courts.
